Oppenheimer’s European Consumer Investment Banking Team is pleased to have acted as Financial Adviser to Vandemoortele on its acquisition of Délifrance SA
On 28 March 2025, Vandemoortele announced that it had entered into an agreement under which Vandemoortele will acquire Délifrance from VIVESCIA Industries following completion of the information and consultation process with employee representatives. The formal agreement was signed on 12 June 2025 and parties will now seek regulatory approval before the expected closing of the transaction later in the year. Oppenheimer Europe Ltd. acted as financial adviser to Vandemoortele.
This transaction follows Vandemoortele’s acquisitions of Lizzi in February 2025 and Dolciaria Acquaviva in June 2024, both of which Oppenheimer advised on.
Vandemoortele is a family-owned, leading Belgian food group. Its Bakery Products division has been in business for almost 50 years, with 3,500 employees and 28 production sites. The Bakery Products division has an annual turnover of approximately €1.4 billion and offers a wide range of frozen bakery products under different brands and retailer private labels, and is present in Europe and the USA.

Délifrance, a wholly owned subsidiary of VIVESCIA Industries, is one of Europe’s leading frozen bakery manufacturers, with over 3 200 employees, a network of 14 production sites and annual turnover of approximately €930 million for the year ending 30 June 2024. Délifrance’s main presence is in Europe and Asia where it serves retailers, foodservice operators, and artisan bakers.
The transaction reinforces Oppenheimer’s position as a leading M&A adviser in the European consumer sector and in particular within the food & beverage sub-sector. This follows Oppenheimer advising Vandemoortele on its acquisitions of Lizzi and Dolciaria Acquaviva, Finsbury Food Group Plc on its recommended acquisition by DBAY Advisors, Leprino Foods on its acquisition of Glanbia’s UK and European cheese business, Groupe Bel on the sale of its Leerdammer cheese business, and HEMA on the sale of its HEMA Bakeries division.
