Exclusive Financial Adviser to CEWE Stiftung & Co. KGaA on the sale of futalis GmbH

Oppenheimer’s European Investment Banking Team is pleased to have acted as Exclusive Financial Adviser to CEWE Stiftung & Co. KGaA on the sale of futalis GmbH to its Management
On 21 December 2023, CEWE Stiftung & Co. KGaA (“CEWE”), futalis GmbH (“futalis”) and the management of futalis (“Management”) have reached an agreement on the sale of futalis to Management. Oppenheimer Europe Ltd. (“Oppenheimer”) acted as exclusive financial adviser to CEWE.
Commenting on the announcement, James Murray, Managing Director and Co-Head of European Consumer Investment Banking at Oppenheimer, said: “We are delighted to have advised CEWE on the sale of futalis, which will enable CEWE to further focus on its core business while enabling futalis to independently enter the next exciting stage of its growth phase after benefiting from CEWE’s know how in automation of mass customization processes in building and developing its production facility in Leipzig.”
The transaction reinforces Oppenheimer’s position as a leading M&A adviser in the European consumer sector and in particular within petfood. This follows Oppenheimer advising Munich-based AlphaPet on its successful acquisition of leading UK pet food brand Arden Grange and its related debt re-financing by CVC in 2022.
futalis is an established leader in the veterinary and individually tailored dog food market in Germany with unique mass-customization capabilities. The company was founded in 2011 and operated within the CEWE group from 2015 during which it developed its purpose-build production facility together with CEWE, leveraging CEWE’s unmatched know-how in mass-customization automation. Today, this production facility enables futalis to provide the highest degree of individual customization in the dog food market on a mass market scale.
